Senior Counsel

Position Overview:

We are looking for a mid-level to senior attorney who can hit the ground running, working on commercial technology-related agreements such as enterprise agreements, cloud services agreements, inbound and outbound licensing agreements, professional services and consulting agreements, SOWs, NDAs, and third-party data agreements. The position will work directly with leaders of Enterprise, Sales, IT, Operations and other groups.

  • Be a relationship and results-oriented person who will enjoy serving as an integral partner and trusted advisor to the enterprise sales, solutions and marketing teams.
  • Develop and maintain a comprehensive understanding of the company’s products, services, target customers, customer journeys, and strategic priorities.
  • Leverage both the relationships and knowledge to provide strategic counsel, advice and support.
  • Act early to provide thought partnership to product managers and those in the sales and marketing functions.
  • Identify potential challenges prior to execution. Weigh risk and probability and provide the company’s business leaders with an informed point of view and advice concerning potential actions. 

Enable sustainable organizational growth and success.

  • Help develop initiatives consistent with SU’s goals, values, and mission.
  • Help develop and implement processes designed to create both a high level of professional service and efficient delivery of service by the legal group.
  • Lead contract management discussions with sales, product managers and business leaders.
  • Ensure that the company conducts its business in compliance with applicable laws and regulations.

Offer well supported legal advice.

  • Deliver crisp and clear legal counsel to all levels of executives and staff.
  • Prepare, review and negotiate company contracts, requests for proposals, and other legal documents. 

Our Requirements (WE WANT YOU TO HAVE):

  • Minimum of 7 years’ combined law firm and in-house experience 
  • Current membership in the California bar and a J.D. from an accredited law school.

About You (we’d like it if you have)

  • Three or more years of relevant experience at a top law firm (or international equivalent)
  • Strong contract experience, including an in-depth understanding of intellectual property law and the ability to spot both legal and business issues.
  • Experience at a fast-growing pre-IPO company and at a public global company.
  • Ability to negotiate positively and proactively with internal and external clients and close transactions efficiently.
  • Strong analytical skills and the ability to strike practical balance between legal risks and the need to do business.
  • Enthusiasm and curiosity about technology and exceptional energy regarding the challenges of serving a dynamic, high-growth company.
  • Meticulous attention to detail and quality of work product.
  • Ability to adapt to rapidly-changing environments.
  • Strong personal integrity.
  • A desire to be a part of a team, and a belief that when good people genuinely support each other we can achieve great things! 
  • A positive outlook with a self-aware leadership style and a highly team-oriented and collaborative approach to work.
  • Experience in the professional services industry.
  • Experience with SaaS and IP licensing.
  • The ability to work at both the macro and micro level.
  • A familiarity with both B2B and B2C environments.
